Introduction

Welcome to ComparTrip. By accessing or using our mobile application and website (hereinafter, "the Application"), you agree to be bound by these Terms and Conditions, which, together with our Privacy Policy, govern our relationship with you in relation to the Application.

Please read these terms carefully before you start using our Application. If you disagree with any part of these terms, you should not use our Application.

Definitions

In these Terms and Conditions, unless the context requires otherwise:

• "We", "our" or "the Company" refers to Compartrip S.L., the developer and owner company of ComparTrip.
• "You", "your" or "User" refers to any person who accesses or uses the Application.
• "Application" refers to the ComparTrip mobile application and its associated website.
• "Content" refers to all information and data generated, communicated, or displayed in the Application.
• "Group" refers to a set of users who share trips among themselves within the Application.
• "Trip" refers to any journey registered in the Application between an origin and a destination.
• "Agreement" refers to a mileage compensation pact between users within the Application.

Registration and Account

To use ComparTrip, you must register and create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.

By registering, you agree that:

• You are at least 18 years old or of legal age in your jurisdiction.
• The information you provide is accurate, current, and complete.
• You will keep your information up to date.
• You will not create accounts using false identities or inaccurate information.
• You will not create more than one personal account.
• You will not transfer your account to another person without our prior consent.

We reserve the right to suspend or cancel your account if we consider that you have violated these terms or if your behavior is harmful to other users or the integrity of the Application.

Use of the Application

By using our Application, you agree to:

• Use the Application only for lawful purposes and in accordance with these Terms.
• Not use the Application for commercial activities or for profit.
• Not use the Application to connect with unknown people.
• Not attempt to access, use or manipulate ComparTrip's systems, servers or databases in an unauthorized manner.
• Not use the Application in a way that could damage, overload, impair or compromise the functionality of our systems.
• Not use the Application to transmit any material that is defamatory, offensive, or of an obscene or threatening nature.
• Not infringe the intellectual property rights or other rights of third parties through the use of the Application.

Features and Services

ComparTrip provides the following main features:

• Creation and management of groups to share trips.
• Registration of routes and shared trips.
• Tracking of miles traveled as driver and passenger.
• Calculation of mileage balance between users.
• Management of mileage compensation agreements.
• Notifications related to activity in the Application.

We reserve the right to modify, suspend or discontinue, temporarily or permanently, part or all of our services at any time and without prior notice. We will not be liable to you or any third party for any modification, suspension or discontinuation of our services.

Intellectual Property

The Application and all its content, features and functionalities (including, but not limited to, all texts, graphics, logos, icons and code) are the exclusive property of Compartrip S.L. and are protected by Spanish and international laws of copyright, trademarks, patents, trade secrets and other intellectual property or proprietary rights.

You are granted a limited, non-exclusive, non-transferable and revocable license to use the Application in accordance with these Terms. You may not:

• Copy, modify, adapt, translate or create derivative works from the Application or its content.
• Decompile, reverse engineer or disassemble any part of the Application.
• Remove, alter or obscure copyright notices, trademarks or other proprietary rights notices.
• Use any automated method to extract or collect data from the Application.
• Use the Application in any way that violates these Terms.

User Content

You may generate content through your use of the Application, such as creating groups, registering trips, and establishing agreements. You are solely responsible for any content you post and the consequences of sharing such content.

By posting content in the Application, you grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to use, reproduce, modify, adapt, publish, translate and distribute such content in connection with the operation and promotion of the Application.

You agree not to post content that:

• Is false, inaccurate or misleading.
• Infringes third-party rights, including intellectual property or privacy rights.
• Is illegal, threatening, abusive, defamatory, obscene or otherwise objectionable.
• Contains viruses, Trojans, worms or other malicious computer code.
• Interferes with the operation of the Application or negatively affects the experience of other users.

We reserve the right to remove any content that, in our judgment, violates these Terms or is potentially harmful to other users or the integrity of the Application.

Privacy

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms and Conditions. By using the Application, you consent to the processing of your data as established in that policy.

Limitation of Liability

ComparTrip is a tool that facilitates the organization and tracking of shared trips, but in no case:

• Do we provide transportation services or act as a transportation operator.
• Are we responsible for the safety, quality or legality of shared trips organized through the Application.
• Do we verify the identity, aptitude or suitability of users to perform shared trips.
• Do we guarantee the accuracy, completeness or usefulness of the information provided by users.
• Do we assume responsibility for disputes between users related to trips or compensation agreements.

To the extent permitted by applicable law, Compartrip S.L., its employees, officers, partners and providers will not be liable for:

• Direct, indirect, incidental, special, punitive or consequential damages resulting from the use or inability to use the Application.
• Losses or damages caused by viruses, denial of service attacks or other technologically harmful material.
• Any loss or damage resulting from any action taken or not taken based on information presented in the Application.
• Personal injury, death or property damage arising from the use of the Application or participation in trips organized through it.

Indemnification

You agree to defend, indemnify and hold harmless Compartrip S.L., its employees, officers, partners and providers against any claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including, but not limited to, attorney's fees) resulting from:

• Your use or misuse of the Application.
• Your violation of any of these Terms.
• Your violation of any third-party rights, including privacy or intellectual property rights.
• Your behavior in relation to the Application and other users.
• Any dispute between you and another user of the Application.

Modifications

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Substantial changes will take effect 30 days after the posting of the notification. Your continued use of the Application after such period will constitute your acceptance of the new terms.

If you disagree with the new terms, you must stop using the Application. We recommend you periodically review this page to stay aware of any changes.

Applicable Law

These Terms will be governed and interpreted in accordance with the laws of Spain, without regard to its conflict of laws provisions. Any claim or dispute related to these Terms or the Application will be subject to the exclusive jurisdiction of the courts of Spain.

General

If any provision of these Terms is deemed invalid or unenforceable, such provision shall be interpreted in a manner consistent with applicable law to reflect, as far as possible, the original intentions of the parties, and the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Compartrip S.L. regarding your use of the Application and supersede any prior agreement between you and Compartrip S.L. related to the Application.

The waiver of enforcement of any right or provision of these Terms will not be considered a waiver of any other right or provision. The waiver of any right or provision will be effective only if it is in writing and signed by a duly authorized representative of Compartrip S.L..
